Default Registering new company, looking for advice

Hi everybody

My name is Rafal Lipczyk and I am planning to register my first, brand new company in UK within very short period of time.
I am looking for adivce, especially from UK traders as I believethat they know everything in that matter.

I was looking on the internet for a service that will allow me to register a company quickly and I found http://www.eacbs.com/formation_insight.php.
I hope that it is fine to put that link here. This is not advertisment.

They have very reasonable prices and seem to be very proffesional.

I was talking to the operator on the phone and found out that the only form of a company that I may registrer is LTD or PLC.
They require two other people when applying, a director and a secretary.
I thought that it is possible to register company by myslef without a need of other people and asked about that and lady on the phone explained to me that in UK, whatever you do, let's say sell flowers on the corner of the street, you need to have them (director, secretary) to register a company.

I asked if I need to pay them salaries (they are my friends and want to help me to register without any other commitement or compensation) or to report that fact that i have just hired them or any other duties. And the answer was that I do not have to as long as I do not pay them salaries.

Can UK companies owners please confrim that?
Do you all had to have a director and a secretary when registering even small businesses?
Are there any duties after that for me or for them regarding to the fact that they are my director and secretary?

And I am wondering what option should I choose, basic or bonus package.
Basic package is just:

' Hard copies of the Original Certificate of Incorporation
3 prints of the Memorandum and Articles of Association
Accountancy Information
Share Certificates
Payment of all Government fees
Sent by 1st Class post '

and Bonus Pacakge includes

'Basic Package + Bank Account + Vat Registration + Domain Name+ Web Site'

Should I choose basic package or apply for bonus with VAT registration?

I will be thankful for any advice in this matter as I should register company as soon as possible.

Thank you
Rafal

You could just become a Sole trader, no need for directors etc

Tax, Vat threshold would be around £60k

Check out your bank for sole trader business accounts

Thank you so much for your advice.

Regarding to Sole Trader.

Which option would be better? Sole Trader or company LTD?

What advantages are when choosing first one or the other option?

Is the only difference that Sole Trader account does not require directors and all other things, trading and so on are the same?

Thank you
Rafal

What they told you over the phone is wrong. You do not need three people.

I own ltd companies of which I am director and company secretary with one other person as a director.
